Abstract
Why do boards help some entrepreneurial firms cross strategic thresholds while adding little value, or even obstructing adaptation, in others? This article addresses that question by developing a phenomenon-led account of board capability fit in entrepreneurial and private firms. The central claim is that boards become consequential when firms encounter thresholds that exceed the reach of informal owner-management: commercialisation, scale-up, succession, ownership transition, responsible growth, renewal or deliberate independence. At such moments, board effectiveness depends less on formal structure than on whether the board supplies the capabilities required by the firm’s ownership configuration, financing regime and institutional exposure. Misfit appears when board capabilities persist after the entrepreneurial problem has changed. The article advances board capability fit as a testable mechanism, not a generic prescription for board professionalisation. It distinguishes threshold-crossing, control-and-discipline, and legitimacy-and-access capabilities; maps their variation across founder-led, family-owned, investor-backed, university spinout, employee-owned, lifestyle and mature private firms; and specifies observable indicators recoverable from company-register, accounts, director-history, ownership-event and outcome data. The contribution is a research programme for explaining when boards matter in entrepreneurial firms, which capabilities become binding at which thresholds, and how capability misalignment, reconfiguration and performance consequences can be tested using population-scale administrative and linked data.
